The theme “Mind the Gap, Close the Gap” symbolises a commitment to collaborative efforts towards building a robust, sustainable, and inclusive corporate environment, reflecting ICDM’s actionable plan to lead transformative change and establish new benchmarks in board governance. Since its establishment, ICDM has demonstrated significant growth in its services, reflecting its expanding impact and presence in the corporate sector. We have made remarkable strides in director education, offering numerous programmes that have been instrumental in enhancing the professional capabilities of directors. At the same time, we have contributed to the improvement of board effectiveness and governance practices and have been proactive in screening for new board talents and placing independent directors on boards.

This year’s ICDM Report offers detailed insights of the initiatives undertaken and impact we made in 2023, up to the first quarter of 2024.

This is the type of leadership that the Institute of Corporate Directors Malaysia (ICDM) aims to cultivate through our unwavering commitment to continuous professional development of boards and directors.

Entering the Next Phase of Board Evolution

Corporate governance as you know it has changed forever. Over the past year, we have heightened efforts to assist boards shift towards a proactive, sustainability-driven governance model – one that places equal emphasis on profit, people and the planet. We are pleased to see that boards and directors are increasingly reorienting themselves towards this goal. This report captures our progress and milestones from 1 January 2021 to 30 April 2022 and the work we have done to move the needle to advance corporate governance in Malaysia and beyond.

Boards Must Shift from a Reactive Approach to a Proactive, Sustainability-Driven Governance Model

At the core of ICDM’s mandate is the enhancement of the overall effectiveness of Malaysian boards, through our carefully curated director development initiatives and bespoke board advisory services that include competency-based director sourcing, training and board evaluation.

We will continue to observe the market developments, anticipate challenges and proactively offer bespoke solutions to our members and clients. Over the last one year, the director community has taken a big step forward in terms of learning and making leadership improvements. Our immediate focus moving forward is to make the gain more enduring by strengthening our advocacy, development programmes and services across the board.

In the post-pandemic world, disruption will only accelerate. To ensure companies stay competitive and relevant, it is imperative for boards to speedily transition from a reactive approach to a proactive, sustainability-driven governance model.

Same Purpose, Different Course

At ICDM, we have been just as challenged as any other organisation. The pandemic and the ensuing Movement Control Order (MCO) put a halt to our ability to support our members and clients face-to-face. Nonetheless, online learning and virtual solutions have always been part of our broader development plans, and we were well-positioned to accelerate the transition to our digital platforms and were able to provide a series of webinars to offer timely and crucial insights to help boards and directors mitigate the impact of the crisis.

Moving forward, ICDM will continue to observe market changes, anticipate board challenges and continue to adapt our services to meet the needs of board leadership development and our collective mission to build enduring excellence in governance.
