Navigating Directorship: Legal Consequences, Responsibilities and Risks In Office (An extended version of the PowerTalk on Being Sued as an INED: Personal Journey)
Navigating Directorship: Legal Responsibilities and Risks in Office’ offers a deep dive into the legal landscape surrounding directors’ duties and liabilities whilst in office. An extended version after “PowerTalk on Being Sued as an INED: Personal Journey” based on registrants’ interest in this topic.
First-hand experiences shared by Chithra Ganesalingam, former independent Chairman of Apex Equity Holdings Berhad. Participants will leave session gaining valuable insights into navigating litigation, comprehending legal processes, jargons and hurdles.
The programme will delve into areas of concern for directors on litigation risks, exploring safeguards and risk mitigation solutions including Directors and Officers (D&O) liability insurance.
This programme will feature detailed analysis of directors’ indemnity provisions under the Companies Act 2016 supported by case studies. The session will be jointly conducted with an insurance broker to explain nuances of D&O liability insurance, extent of coverage and claim process.
This programme is the first of its kind introducing “bite size” easy to understand concepts with the ultimate aim of empowering directors, executives and legal professionals knowledge to understand their legal responsibilities. The session will explore:-

Chithra Ganesalingam
Former Non-Executive Chairman of Apex Equity Holdings Berhad
Chithra is the former Independent Chairman of Apex Equity Holdings Berhad, a company in the financial services sector listed on Main Market Bursa Malaysia whilst being an Advocate & Solicitor, High Court Malaya specialising in corporate and commercial law and legacy planning. At Apex Equity Holdings Berhad, Chithra is also a member of the Audit & Risk Management Committee, Chair of Nomination Committee and member of Remuneration Committee.
Chithra is unique in that she has integrated board exposure (directly and as board support) being chairperson and board member (5 years) in addition to her C-suite experience as chief legal officer (7 years) and board support practical exposure (7 years) as group company secretary.
She has experience in legal, regulatory and corporate law, with special focus on complex corporate issues, constitutional framework of corporate entities (both regulated and unregulated), the financial services industry (securities, derivatives, fund raising, asset management and unit trust), corporate trust industry and succession planning and billion-ringgit mergers & acquisitions, and the structuring of the 1st ever international Shariah shipping fund and recently a billion ringgit business ownership succession plan.
Chithra has actively pursued corporate governance, being chair of a public listed company, particularly with the revised April 2021 Malaysian Code on Corporate Governance in overseeing the gap analysis between the earlier 2017 edition and the current version.
Chithra maintained regulatory liaisons and led, strategized and oversaw conflicts and dispute resolutions with stakeholders and as director and chair of a PLC.

Deva, or Mr D as he is fondly known, graduated from Universiti Sains Malaysia with an Honors Degree in Electrical & Electronics Engineering (Telecommunications Major) in 1999 and in 2003 he graduated with an honors degree in Law from the University of London.
He has in illustrious career starting off as a Loss Adjuster in an international adjusting firm then moving on into underwriting and ultimately finding peace at a multinational insurance broking house.
His forte is liability insurance with a keen interest in Directors’ & Officers’ Liability Insurance, professional liability insurance, crime insurance and most recently cyber security insurance.
He is a keen speaker and has presented in a multitude of platforms both local and regional.
